Terms of service

1. Agreement

These Terms of Service ("Terms") govern access to and use of the Docket platform ("Docket," "we," "us") by your organization and its authorized users. By creating an account or using Docket, you agree to these Terms on behalf of your organization.

If your organization has executed a separate master services agreement or order form with us, that agreement controls where it conflicts with these Terms.

2. The service

Docket provides software to coordinate litigation finance and related workflows between your organization and counterparties you choose to invite. Features may include matter management, document sharing, access controls, diligence Q&A, reporting, and audit logging.

Docket does not provide legal, investment, or financial advice. We do not evaluate case merits, recommend funding, or act as a broker-dealer or investment adviser. Your relationships with capital providers and other counterparties remain governed by your own agreements and applicable law.

3. Your responsibilities

  • You control what information and documents you upload and which organizations and users you invite. You are responsible for obtaining necessary consents, protecting privilege and confidentiality, and complying with professional and regulatory obligations.
  • You will keep account credentials secure and ensure users with access act in accordance with your policies and these Terms.
  • You will not use Docket to upload unlawful content, malware, or material you lack rights to share.
  • You are responsible for the accuracy of matter metadata, disclosure levels, and access grants you configure in the product.

4. Confidentiality and data

Content you upload remains yours. You grant us a limited license to host, process, and transmit that content solely to operate and secure the service. We implement access controls and audit logging as described in the product; you remain responsible for how you configure disclosure and invitations.

Our Privacy Policy describes how we handle personal data. Subprocessors may include cloud hosting, email delivery, and document storage providers configured for your deployment.

5. Acceptable use

You may not reverse engineer the service, probe or circumvent security measures, interfere with other users, or use automated means to access the service except through documented APIs we provide. We may suspend access for conduct that risks the platform or other customers.

6. Availability and changes

We strive to keep Docket available and may update features from time to time. Unless otherwise agreed in writing, the service is provided on an as-available basis without a guaranteed uptime SLA in these Terms.

7. Disclaimer and limitation of liability

To the maximum extent permitted by law, Docket is provided "as is" without warranties of merchantability, fitness for a particular purpose, or non-infringement. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from use of the service.

Our aggregate liability for claims relating to the service is limited to the fees paid by your organization for the service in the twelve months before the claim, or one hundred U.S. dollars if no fees have been paid.

8. Termination

You may stop using Docket at any time. We may suspend or terminate access for breach of these Terms or non-payment. Upon termination, your right to access the service ends; export and retention of your data are handled as described in your agreement or Privacy Policy.
